Setting up a Sàrl in Fribourg: the steps and what it really costs

The steps, in order
- Choose the name and check that it is available in the commercial register.
- Draw up the articles of association: purpose, registered office, capital, shares, signatures.
- Open a capital deposit account and pay in the capital. The bank issues a confirmation.
- Sign the deed of incorporation before a notary — this is compulsory for a Sàrl.
- File the application with the commercial register. The company exists from the moment it is entered.
- Release the capital into the company's current account.
- Register: AHV/AVS social insurance office, VAT if you exceed the registration threshold, accident insurance and pension fund as soon as you have your first employee.
What it costs

Timescales
Allow one to two weeks between signing at the notary and the entry in the register, depending on how busy it is. The rest depends mainly on how quickly you gather your documents.
The two mistakes we see most
A company purpose that is too narrow. It appears in the articles and limits what you are allowed to do. Changing it later means another trip to the notary.
No separation between accounts. From day one, private and business spending must be kept apart. Mixing them makes the first year-end closing long, and therefore expensive.
